Dilogs AI Pvt Ltd – Terms and Conditions

This Agreement is entered into at New Delhi, India on the current date (Effective Date).
1. Introduction
These Terms and Conditions (“Agreement”) govern your access to and use of Dilogs ("Dilogs AI Pvt Ltd," "we," "us," or "our") services and platform ( www.dilogs.com ). If you accept on behalf of a company or legal entity, you confirm authority to bind that entity.
2. Definitions
- User / Client / You: Individual or entity using Dilogs services.
- Platform: Dilogs website, application, and associated services.
- Content: Information, images, data, videos, messages, etc. provided by user or generated by Dilogs AI.
- Data: User’s personal and usage information submitted or generated during use.
- Effective Date: Date of user acceptance or account creation.
- Services: All features and functions offered by Dilogs.
- Sensitive Information: Passwords, payment data, and other regulated data per applicable law.
3. Agreement and Acceptance
By using Dilogs, creating an account, or accessing services, you agree to be legally bound by this Agreement. If you do not agree, discontinue use immediately. Continued use post amendment reflects acceptance.
4. User License
Limited, non-exclusive, non-transferable license is granted to access and use platform features in compliance with this Agreement.
5. User Eligibility & Registration
- Must be 18+ or legal age of majority.
- Provide accurate and updated account information.
- Comply with laws and platform policies.
- Dilogs may request proof of eligibility.
6. Prohibited Conduct
Users must not:
- Upload/share unlawful or unauthorized information.
- Harm minors or infringe rights.
- Distribute malware or spam.
- Impersonate others or violate laws.
7. Data Protection & Privacy
Dilogs complies with Section 43A and 72A of the IT Act, 2000, the SPDI Rules, 2011, and applicable international data protection laws (e.g., GDPR).
- Collected Data:
- Voluntary information (name, email, phone).
- Automatically collected data (device info, log files, browser type, IP address).
- Use of Data: For service delivery, platform improvement, security, and (with consent) AI training.
- Data Sharing: Dilogs does not sell or share personal data with third parties, except for service providers bound by confidentiality or where legally required.
- User Rights: Access, correct, delete, restrict, or object to processing; portability where feasible; withdraw consent anytime.
- GDPR/Enterprise Clients: A separate Data Protection Agreement (DPA) will apply to cover processor obligations, transfers, and compliance safeguards.
8. Data Retention
- Non-identifiable logs: Retained only as long as required for performance/security.
- Personal data: Deleted when no longer needed, unless law mandates retention.
- Children: Data from users under 18 will be promptly deleted if discovered.

9. AI-Specific Terms
- Outputs are AI-generated without guarantee of accuracy.
- Users retain IP rights in uploaded content but grant Dilogs a license to process it.
- Dilogs owns rights in AI-generated outputs (subject to user rights in contributed content).
- AI-generated results will include disclosure and may have limitations.
10. Service Level Agreement (SLA)
- Monthly uptime target: over 99%.
- Scheduled maintenance will be notified in advance.
- Limited compensation mechanisms exist for verified outages.
- Support available through designated communication channels.
11. Financial Terms
- Subscription cycles: monthly, quarterly, annual.
- Payments via approved methods; subject to GST or/and applicable taxes.
- Late fees and auto-renewals apply as per billing policy.
- Refunds governed by platform-specific policies.
12. Credits Policy
- Definition: Credits are virtual units enabling use of Dilogs’ services. Each AI output (video, transformation, generation) deducts credits as transparently displayed in-platform.
- Purchase: Credits can be purchased via online methods (UPI, cards, wallets) or enterprise invoicing. Subject to applicable taxes; Dilogs may revise pricing with prior notice.
- Deduction: Credits deducted once output is generated—whether saved, downloaded, or discarded. Failed outputs from Dilogs’ systems may be refunded as credits after verification.
- Expiry: Credits validity from purchase vary from plan to plan; expired credits auto-lapse and cannot be reinstated.
- Refunds/Transfer: Credits are non-refundable and non-transferable, except as per consumer protection laws.
- Promotional Credits: Bonus/free credits may be provided with limited validity (e.g., 30 days), cannot be converted to cash, and lapse upon account termination.
13. User Obligations
- Maintain confidentiality of login credentials.
- Notify Dilogs of suspected unauthorized access.
- Not interfere with or circumvent system security.
14. User Content & Moderation
Users guarantee rights to all uploaded content and indemnify Dilogs from claims. Moderation and takedown procedures apply to infringing or unlawful content.
15. Intellectual Property
- Dilogs owns all IP rights in its platform and AI technologies.
- Users retain ownership of uploaded content but grant Dilogs service-related licenses.
- AI-generated outputs are owned/licensed by Dilogs, subject to user contribution rights.
- Copyright complaint and takedown mechanisms comply with applicable law.
16. Limitation of Liability
- No liability for indirect or consequential loss.
- Liability cap = subscription fees paid in the three months prior, barring gross negligence or misconduct.
17. Disclaimers
All services are provided “AS IS” and “AS AVAILABLE,” without warranties of uninterrupted operation or fitness for purpose.
18. Termination & Data Handling
- Accounts may be terminated for breach or at user request.
- Users may export their data before closure.
- Deletion of information handled as per platform timelines and legal obligations.
19. Support & Monitoring
Dilogs may monitor usage for quality assurance and prevent abuse. Limited user support provided through designated channels.
20. Governing Law & Jurisdiction
Governed by Indian law, including IT Act 2000 (Sections 43, 43A, 60, 66, 72, 72A), the Indian Contract Act, and Consumer Protection Act.
Exclusive jurisdiction: Courts of New Delhi, India.
21. Miscellaneous
- This Agreement is the complete understanding between parties.
- Amendments/waivers must be in writing.
- Invalid provisions do not affect enforceability of the remainder.
